1. Object
1.1. These general terms and conditions of sale (hereinafter referred to as "GTC") apply to the contractual relationships maintained between the company Ji-Mag Business, whose registered office is located at Avenue d’Ecolys 2, 5020 Suarlée, registered with the Crossroads Bank for Enterprises under number BE 0691 932 276 (hereinafter referred to as the "Circle" or "We") and any participant in the activities or member of the Circle (hereinafter referred to as the "Client" or "You") through the website www.cercledewallonie.com (hereinafter referred to as the "Site"). The General Terms and Conditions (GTC) are attached to the offer at the time of the order and are available online on the Site. 1.2. The purpose of these General Terms and Conditions (GTC) is to define the terms and conditions for online sales of the offers marketed by the Circle (hereinafter referred to as the "Offers"), such as tickets for events organized by the Circle or membership fees within the framework of the Circle's membership program in accordance with the membership policy (hereinafter-after the "Accession Policy"). 1.3. These General Terms and Conditions apply to all orders of Offers (hereinafter referred to as the "Orders").
1.4. Articles 4 and 5 of the General Terms and Conditions (GTC) apply only to individuals acting for purposes that do not fall within the scope of their commercial, industrial, artisanal, or liberal activities in accordance with Article I.1, 2° of the Belgian Code of Economic Law (hereinafter referred to as "the Consumer Client"), [APO3] to the exclusion of individuals or legal entities acting for purposes that fall within the scope of their commercial, industrial, artisanal, or liberal activities (hereinafter referred to as "the Professional Client").
2. Characteristics of the Circle's Offers
2.1. The Cercle de Wallonie is a business circle that organizes nearly 150 activities per year (such as lunches, conferences, debate evenings, company visits, cocktails, training sessions, etc.) to which members can register members and simple participants[APO4] , and which provides its members with various prestigious venues for organizing events. The Circle also offers a range of other benefits (hereinafter referred to as the "Benefits") to its members as part of the Circle's membership program and in accordance with the Membership Policy.
2.2. All events and Benefits offered by the Circle (hereinafter referred to as the "Offers") as well as their descriptions are available on the Site.
2.3. The Benefits are protected by intellectual property rights (copyright, trademark rights, etc.). They may not be reproduced, copied, or resold without the authorization of the Circle, under penalty of constituting an offense of copyright infringement and/or design and model infringement and/or trademark infringement, punishable by three months to three years in prison and a fine of 100 to 100,000 euros or one of these penalties only.
3. Order Placement
3.1. The Site notably offers the possibility to place an order for one or more Offer(s). To place an order, the Client must follow the ordering procedure provided on the Site, which proceeds as follows:
- Choix de l’Offre (inscription à un/des évènement(s), cotisation annuelle au programme d’adhésion du Cercle conformément à la Politique d’adhésion) ;
- Ajout de l’Offre ;
- Validation du contenu du panier ;
- Identification et communication des données personnelles de contact ;
- Choix du mode de paiement ;
- Vérification des informations saisies ;
- Prise de connaissance et validation des CGV ;
- Validation de la commande en cliquant sur le bouton « Payer maintenant » ;
- Paiement via le système de paiement sécurisé Mollie.
As a result, the Client receives an order confirmation by email.
3.2. The final validation of the order by clicking the "Pay Now" button constitutes an electronic signature that binds the Customer in the same way as a handwritten signature and implies the obligation to pay.
3.3. The Offers are available as long as they are visible on the Site and within the limits of their availability. In the event that an Offer becomes unavailable after an order has been placed, the Circle will inform the Customer by email. The order will then be automatically canceled and the Customer will be refunded.
3.4. Any order will only be processed after payment has been accepted by the bank of the Circle. In the absence of payment within thirty (30) calendar days following the order, the Circle reserves the right to cancel it.
3.5. The ordering of Offers is reserved exclusively for legal entities and adult individuals who have legal capacity and who reside in a member state of the European Union. Any order that does not meet these conditions may be canceled by the Circle.
4. Price and payment terms
4.1. The prices indicated are expressed in euros (EUR) and are inclusive of all taxes (TTC).
4.3. The Payment for Offers is made at the time of ordering and in 2 ways:
- Virement bancaire ;
- Paiement en ligne ;
The payment service integrated into the Site is provided by the secure payment system Mollie (hereinafter collectively referred to as the "Payment System").

When making a payment through the Site, the Client declares that they have read, understood, and accepted the terms and conditions of the Payment System.
4.4. The Circle reserves the right to change its prices at any time. However, the prices applicable to the order are those in effect at the time of its confirmation.
4.5. If you are a professional Client, an electronic invoice can be provided to you upon request by email to the following address: [email protected], including your billing information, your order number, and the email address to which the invoice should be sent.
5. Duration of membership and its renewal
Membership is valid for 12 months and can be initiated at any time of the year. Registration with the Cercle de Wallonie will be automatically renewed at its expiration for a new period of 12 months unless the member provides a notice of cancellation with 3 months' notice by registered letter.
5. Right of withdrawal
5.1. In accordance with the law, the consumer Client has the right to withdraw from the contract without providing a reason within fourteen (14) days following the purchase of the chosen Offer.
To exercise this right, it is sufficient for him to notify his decision to withdraw within the allotted time by means of an unambiguous statement sent by postal mail or by email.
5.2. In the case of purchasing a membership, the Circle will refund the price of the Offer to the consumer Client unless the Offer has been fully executed (for example, a benefit related to the consumed membership)[APO9] Unless expressly stated otherwise, the refund will be made using the same payment method as that used for the initial payment and will not incur any additional fees.
5.3. In the case of the Circle's activities, reservations are mandatory and considered firm. Cancellations are only accepted by email. In the event of a late cancellation (less than 48 business hours) or a no-show, the activity will be charged.
6. Responsibility
6.1. The responsibility of the Circle cannot be invoked in cases of fortuitous circumstances or in cases of force majeure (see point 7).
6.2. The liability of the Circle is limited exclusively to any potential direct damages and cannot, under any circumstances, be held liable for indirect damages such as, among others, loss of earnings, business loss, loss of data, time, deficits, or any other form of indirect damage.
6.3. The Circle cannot be held liable for damages inherent to the Client's use of the internet.
6.4. Without prejudice to the right of withdrawal provided for in point 5, in order to be valid, any potential claim by the Client must be communicated in writing within eight (8) calendar days from the date of knowledge of the fact giving rise to the claim. The absence of any contestation following the aforementioned rules results in the Client's unconditional and unreserved acceptance of the fact giving rise to the claim and, de facto, the definitive waiver of any claim in this regard.
This claim is made by the Client at their discretion:

6.5. The Client remains solely responsible for the choice of the Offers, their appropriateness and suitability for their needs, and their use. Any use of the Offers that does not conform to the intended purpose is the sole responsibility of the Client, excluding that of the Circle.
6.6. The Client is also solely responsible for complying with the regulations in force in their country of residence and cannot invoke the applicable regulations in their country of residence against the Circle.
7. Force majeure
7.1. Any event that is independent of the will of the parties, potentially foreseeable but unforeseen, which makes the performance by one party of one or more of its obligations either impossible or substantially more difficult, shall be considered as a case of force majeure (including, but not limited to: war, riot, revolution, insurrection, strike or lockout within the company, fire, flood, earthquake, storm, failure of telecommunications systems, power outage, etc.).
7.2. The party invoking force majeure shall notify the other party as soon as possible of the occurrence of the event.
7.3. The obligations affected by the force majeure event, as well as all reciprocal obligations of the other party, are suspended for the entire duration of the force majeure event.
7.4. If the force majeure situation lasts more than three (3) months, either party has the right to terminate these General Terms and Conditions with immediate effect and without compensation, by notifying the other party by registered letter sent by mail.
8. Validity of contractual clauses
8.1. The Circle's abstention from invoking, at a specific moment, a provision of these General Terms and Conditions shall not be interpreted as a waiver of its rights to assert them later under this.
8.2. The nullity, expiration, or unenforceability of all or part of any of the preceding or following provisions shall not result in the nullity of the entirety of these General Terms and Conditions. The provision that is wholly or partially null, expired, or unenforceable shall be deemed unwritten. The Circle agrees to substitute this provision with another provision that will pursue, to the extent possible, the same objective.
9. Applicable law and competent jurisdiction
9.1. The validity, interpretation, and/or enforcement of the General Terms and Conditions are subject to Belgian law, to the extent permitted by the applicable rules of private international law.
9.2. In the event of a dispute regarding the validity, interpretation, or execution of the General Terms and Conditions, the Courts and Tribunals of the judicial district of Brussels shall have exclusive jurisdiction, to the fullest extent permitted by the applicable rules of private international law.
9.3. Before undertaking any steps aimed at the judicial resolution of a dispute, the Client and the Circle agree to attempt to resolve it amicably. To this end, they first make contact with each other, before resorting, if necessary, to mediation, arbitration, or any other alternative dispute resolution method.
